Distance Sales Contract
Effective Date: 01.06.2025
This Distance Sales Contract (“Contract”) is established between the service provider (“Seller”) and the person or institution (“Buyer”) purchasing services in an electronic environment, as detailed below.
1. Parties
- Seller: Payfoni Teknoloji A.Ş. (“Payfoni”)
- E-mail: [email protected]
- Buyer: The natural or legal person who performs the purchase transaction via the Payfoni system. The information provided by the Buyer during the order process shall be considered as the basis.
2. Subject of the Contract The subject of this contract is to determine the rights and obligations of the parties regarding the sale and provision of software licenses, subscriptions, installations, integrations, consulting, or similar digital services purchased by the Buyer electronically via the Payfoni platform belonging to the Seller. Payfoni is a software platform that enables businesses to manage their commercial, financial, operational, and managerial processes.
3. Nature of the Service The purchased service may include the following scopes:
- Software subscription
- Access to ERP modules
- Creation of a user account
- Software license
- Data management and panel access
- Installation service
- Training service
- Consulting service
- Integration services
- Technical support
- The scope of the service may vary depending on the purchased package or proposal content.
4. Order and Formation of the Contract When the Buyer purchases a service via the Payfoni system, they:
- Confirm the order information,
- Complete the payment process,
- Are deemed to have accepted the provisions of this contract. The contract is formed upon the successful completion of the payment.
5. Delivery of Service Services offered by Payfoni are delivered in a digital environment. Delivery may occur in the following ways:
- Creation of the user account
- Sending of panel access credentials
- Activation of the subscription
- Definition of the license
- Initiation of installation and configuration procedures
- Planning of integration processes No physical product shipment is performed.
6. Delivery Time
- Standard Software Subscriptions: After the payment is completed, system access is activated as soon as possible.
- Installation and Project Services: Delivery time for special installations, data transfers, integrations, or consulting services may vary depending on the project scope, technical requirements, information to be provided by the customer, and the planning schedule.
7. Price and Payment The Buyer agrees to pay the fees for the purchased service in the manner specified during the order. Payment methods may include credit cards, bank transfers, payment institutions, or subscription collection systems. For subscription-based services, fees may be charged monthly or yearly.
8. Right of Withdrawal Digital services and software subscriptions offered in an electronic environment may, by their nature, begin performance immediately after purchase. The Buyer acknowledges that service performance will begin with:
- Creation of the user account,
- Provision of panel access,
- Activation of the license,
- Initiation of system usage. In this case, the right of withdrawal may not be exercised once the digital service has begun.
9. Refund Policy Refund requests may be evaluated in cases where the service has not yet been initiated. Refunds are not provided in the following cases:
- If the user account has been created,
- If the license has been activated,
- If system access has been granted,
- If installation or project work has begun,
- If consulting or training has been provided. Refund evaluations are conducted by the Seller.
10. Subscription Renewal and Cancellation
- Subscriptions may automatically renew according to the selected package.
- The Buyer may cancel their subscription before the next period; the cancelled subscription may be used until the end of the period.
- No refunds are issued for the current subscription period.
11. Obligations of the Buyer The Buyer is obligated to enter accurate information into the system, use user accounts securely, use the software in accordance with the law, and refrain from activities that may harm third parties.
12. Obligations of the Seller The Seller is obligated to provide the purchased service, offer system access as soon as possible, provide technical support, and provide the service with reasonable continuity.
13. Technical Interruptions Temporary interruptions may occur in the Payfoni platform due to maintenance work, infrastructure updates, third-party service issues, or problems caused by internet infrastructure. Such situations do not constitute grounds for a refund.
14. Intellectual Property The Payfoni software, designs, codes, infrastructure, and all intellectual property rights belong to the Seller. The Buyer may not copy, sell, redistribute, or reverse-engineer the software.
15. Limitation of Liability Payfoni shall not be held liable without limit for damages arising from indirect losses, data loss, loss of profit, or third-party service interruptions.
16. Dispute Resolution Turkish Law applies to disputes that may arise from this contract. The competent court and enforcement offices are those located where the Seller’s headquarters are situated.
17. Effectiveness When the Buyer completes the purchase process via the Payfoni platform, they declare that they have read and accepted all provisions of this Distance Sales Contract. The contract is established in an electronic environment and enters into force upon completion of the order.
